Contract Scope of Services:

1. Email Marketing:

  • Creation & Scheduling: Develop and design professional email content tailored to your brand’s messaging and goals.
  • Optimisation: Ensure emails are optimised for engagement and deliverability.
  • Scheduling: Strategically schedule emails for maximum reach and impact.

2. SEO Optimised Blog:

  • Content Creation: Write an SEO-optimised blog post that aligns with your brand’s voice and targets relevant keywords.
  • Posting: Publish the blog post to your website, ensuring formatting and SEO practices are applied.

3. Analytics & Reporting:

  • Monthly Reports: Provide analytics on email performance, including engagement metrics, growth insights, and content effectiveness.

Terms and Conditions: 

SERVICES AGREEMENT

This Services Agreement (the "Agreement") is made and entered into as of today the check out day:

1. Scope of Work

The service provider agrees to offer the following services to the Client (the "Services") as needed:

Content Creation: includes but not limited to compiling and utilising existing content, filming and photographing new content. The client will assume responsibility for gaining prior approval from customers for use of imagery and videography.

Social Media Management: includes but not limited to the scheduling of content on instagram and facebook

Graphic Design: includes but not limited to design and presentation of content for social media

Marketing Consulting: includes but not limited to analytics of social media posts and recommendations on content creation and other digital marketing activities 

2. Compensation

The Client agrees to pay the Service Provider for the Services according to this contract. Payment will be made as follows:

Payment will be a subscription based payment occurring monthly for the agreed services. Any additional works will be billed separately. In the event your payment fails, we will automatically attempt to process the payment once each day for the next 5 days. If payment is still outstanding beyond this period, services and your subscription will be paused until payment is made. This is not considered termination of the contract and monthly billing will still occur. 

Late Payment Fee: Payments remaining outstanding more than 5 days after the first failed attempt will incur a late fee of 1% per week, calculated from the date the payment was due, until full payment is received.

3. Term

This Agreement will commence from today and is ongoing until terminated by either party in accordance with Section 6 of this Agreement.

4. Confidentiality

The Freelancer agrees to keep all information related to the Client's business, including but not limited to marketing strategies, financial data, and business plans, confidential and not to disclose such information to any third party without the Client’s prior written consent.

5. Intellectual Property

All content, designs, and materials created by the Freelancer under this Agreement shall be considered "work for hire" and shall be the exclusive property of the Client. The Freelancer grants the Client a perpetual, royalty-free, worldwide license to use, modify, and distribute such content. The freelancer reserves the right to use all design and materials for promotional purposes. 

6. Termination

Either party may terminate this Agreement with 30 days written notice to the other party. In the event of termination payment is required for the full month in which notice is given and will continue until the end of the following 30-day cycle as billing runs on a 30 day cycle.

7. Liability and Indemnification

The Freelancer shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with this Agreement or the Services provided, even if the Freelancer has been advised of the possibility of such damages.

The Client agrees to indemnify, defend, and hold harmless the Freelancer from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way related to the Services provided, except to the extent such claims arise from the Freelancer’s willful misconduct.

The Freelancer makes no guarantees regarding the return on ad spend (ROAS) or specific performance metrics related to the digital marketing campaigns or strategies implemented. The success of digital marketing efforts is subject to many factors beyond Freelancer's control.

8. Independent Contractor

The Freelancer is an independent contractor and not an employee of the Client. Nothing in this Agreement shall be construed to create an employer-employee relationship, partnership, or joint venture between the parties.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Queensland, without regard to its conflict of laws principles.e final and binding.

10. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements. Any amendments or modifications to this Agreement must be made in writing and signed by both parties

11. Acceptance of Terms

By completing this online checkout, you hereby acknowledge that you have read, understood and agree to be bound by our Terms and Conditions, Privacy Policy, and any other policies applicable to the purchase. Your completion of this purchase constitutes a legally binding agreement between you and Studio Dare.
